1. Agreement to Terms
By downloading, accessing, or using VersaVoice AI™ ("the App," "Service," or "we"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
VersaVoice AI™ is operated by VersaVoice AI™ LLC, a Florida limited liability company.
2. Description of Service
VersaVoice AI™ is a cross-lingual voice communication platform that enables users to:
- Voice Messaging: Send voice messages that are automatically transcribed, translated, and synthesized in the recipient's language
- Voice Cloning: Create a digital clone of your voice for personalized message delivery
- In-Person Translation: Real-time face-to-face translation on a single device
- AI Fluency Enhancement: Automatic removal of filler words, self-corrections, and speech disfluencies
The Service uses artificial intelligence to process your voice recordings, translate content between languages, and synthesize speech using your cloned voice or preset voices.
3. Eligibility
You must be at least 18 years old to use VersaVoice AI™. By using the Service, you represent and warrant that you:
- Are at least 18 years of age
- Have the legal capacity to enter into these Terms
- Are not prohibited from using the Service under applicable law
- Will provide accurate and complete registration information
4. Account Registration
4.1 Account Creation
To use VersaVoice AI™, you must create an account with a valid email address and password. You agree to:
- Provide accurate, current, and complete information
- Maintain the security of your password
- Promptly update any information that changes
- Accept responsibility for all activities under your account
4.2 Email Verification
All accounts require email verification before access is granted. You must verify your email address by clicking the verification link sent to your registered email.
4.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials. Notify us immediately at support@versavoice.ai if you suspect unauthorized access to your account.
5. Voice Data and Cloning
5.1 Voice Recording Consent
By using the voice recording features, you consent to:
- Recording and processing of your voice
- Creation of a digital voice clone from your recordings
- Use of your voice clone to synthesize translated messages
- Storage of voice data on our secure servers
5.2 Voice Clone Ownership
You retain full ownership of your voice recordings and voice clone. Your voice data is used exclusively to:
- Provide the translation and synthesis service to you
- Deliver your messages to your connections in your voice
- (Future) Automatically improve voice clone quality with accumulated recordings
5.3 Voice Clone Restrictions
Your voice clone may only be used:
- By you, through the VersaVoice AI™ platform
- To communicate with your approved connections
- In accordance with these Terms
You may not use the Service to clone another person's voice without their explicit consent.
6. Acceptable Use
6.1 Permitted Uses
You may use VersaVoice AI™ for:
- Personal communication across language barriers
- Business communication with international contacts
- Educational and language learning purposes
- Any lawful purpose consistent with these Terms
6.2 Prohibited Uses
You agree NOT to use VersaVoice AI™ to:
- Impersonate another person or misrepresent your identity
- Clone voices without the voice owner's consent
- Transmit illegal, harmful, threatening, or harassing content
- Distribute spam, malware, or unauthorized advertising
- Violate any applicable laws or regulations
- Interfere with the Service's operation or security
- Reverse engineer or attempt to extract source code
- Create derivative works based on the Service
- Share your account credentials with others
- Circumvent usage limits or billing mechanisms
6.3 Content Standards
Messages transmitted through VersaVoice AI™ must not contain:
- Hate speech or discrimination
- Threats of violence
- Sexually explicit material involving minors
- Content that violates others' intellectual property rights
- Fraudulent or deceptive content
We reserve the right to suspend or terminate accounts that violate these standards.
7. Subscriptions and Payments
7.1 Subscription Plans
VersaVoice AI™ offers subscription plans providing "Neural Minutes" for voice processing. Current pricing and plan details are displayed in the Neural Store within the App and may vary by region.
7.2 Minute Top-Ups
Additional minutes can be purchased as one-time top-ups. Current pricing is displayed in the Neural Store within the App.
7.3 Processing Modes
- Standard Mode: Uses optimized AI models for faster processing (1x minute usage)
- Enhanced Mode: Uses premium AI models for higher quality (2x minute usage)
7.4 Billing and Renewal
- Subscriptions are billed monthly through the Apple App Store or Google Play Store
- Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period
- Your account will be charged for renewal within 24 hours prior to the end of the current period
- Prices are in USD and may vary by region due to local taxes
7.5 Cancellation
You may cancel your subscription at any time through your device's subscription settings:
- iOS: Settings → Apple ID → Subscriptions
- Android: Google Play Store → Subscriptions
Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.
7.6 Refunds
Refund requests are handled by Apple or Google according to their respective policies. VersaVoice AI™ does not directly process refunds for in-app purchases.
7.7 Credit Rollover Policy
Rollover Limits
- Unused Neural Minutes roll over to subsequent billing periods
- Maximum rollover balance: Credits purchased within the last 90 days
- Credits older than 90 days are automatically expired
Plan Changes
- Upgrading: New credits extend your valid balance window
- Downgrading or Canceling: Older credits will naturally expire after 90 days
Top-Up Minutes
- Top-up minutes follow the same 90-day validity window
- Unused top-up credits expire 90 days from purchase date
7.8 Family & Friends Sharing
Eligible subscription plans include the ability to share your minute balance with others:
- Sponsoring: You may designate connections to use your minutes for their messages
- Family & Friends Mode: Sponsored connections may message each other using your balance
- Usage Visibility: You can view aggregate usage statistics for your sponsored connections (message counts and minute usage only—not message content)
- Sponsor Control: You may add or remove sponsored connections at any time
Sponsored users do not have access to your account information or remaining balance details.
8. Intellectual Property
8.1 Our Intellectual Property
VersaVoice AI™, including its design, features, code, and branding, is owned by VersaVoice AI™ LLC. You
receive a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes.
You may not:
- Copy, modify, or distribute the App or Service, or any portion thereof
- Reverse engineer, decompile, disassemble, or attempt to derive the source code
- Rent, lease, lend, sell, or sublicense access to the Service
- Use the Service for any commercial purpose without prior written authorization
- Remove, alter, or obscure any proprietary notices, labels, or marks
- Use automated systems (bots, scrapers) to access the Service
- Circumvent any technical measures designed to control access to the Service
8.2 Your Content
You retain ownership of:
- Your voice recordings
- Your voice clone
- Messages you create and send
By using the Service, you grant us a limited license to process your content solely to provide the Service to you.
8.3 Feedback
Any feedback, suggestions, or ideas you provide about the Service may be used by us without compensation or attribution.
9. Third-Party Services
VersaVoice AI™ uses third-party service providers to deliver its functionality:
- AI Processing Services: Speech-to-text transcription, translation, fluency enhancement, and voice synthesis
- Cloud Infrastructure: Authentication, database, and file storage
- Payment Processing: Subscription and in-app purchase management via Apple App Store and Google Play
These providers are contractually bound to process your data only for the purposes we specify and to maintain appropriate security measures. For details on data sharing, see our Privacy Policy.
10. Disclaimers
10.1 Service "As Is"
VersaVoice AI™ is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy of translations
- Uninterrupted or error-free service
10.2 Translation Accuracy
AI-powered translation may not be perfect. VersaVoice AI™ does not guarantee:
- 100% translation accuracy
- Preservation of all nuances and idioms
- Suitability for legal, medical, or official documents
For critical communications, please verify translations through professional services.
10.3 Voice Clone Limitations
Voice clones are AI approximations and may not perfectly replicate your voice in all contexts. Results vary based on recording quality and language combinations.
11. Limitation of Liability
To the maximum extent permitted by law, VersaVoice AI™ LLC shall not be liable for:
- Indirect, incidental, special, or consequential damages
- Loss of profits, data, or business opportunities
- Damages arising from service interruptions
- Damages exceeding the amount you paid in the 12 months preceding the claim
Some jurisdictions do not allow limitation of liability for certain damages. In such cases, our liability is limited to the minimum extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless VersaVoice AI™ LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Content you transmit through the Service
13. Account Termination
13.1 Termination by You
You may delete your account at any time through the Profile settings. Account deletion includes a 7-day grace period during which:
- Your account is disabled but not permanently deleted
- You may contact support to cancel the deletion
- After 7 days, all data is permanently removed
13.2 Termination by Us
We may suspend or terminate your account if you:
- Violate these Terms
- Engage in fraudulent activity
- Fail to pay subscription fees
- Remain inactive for an extended period
13.3 Effect of Termination
Upon termination:
- Your license to use the Service ends immediately
- Your voice clone and recordings will be deleted
- Outstanding subscription charges remain due
- Provisions that should survive (indemnification, limitation of liability) remain in effect
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles.
14.2 Informal Resolution
Before filing any claim, you agree to attempt informal resolution by contacting us at business@versavoice.ai. We will attempt to resolve disputes within 30 days.
14.3 Arbitration
Any disputes not resolved informally shall be resolved by binding arbitration under the American Arbitration Association's Consumer Arbitration Rules. Arbitration will take place in Florida or remotely.
14.4 Class Action Waiver
You agree to resolve disputes individually and waive the right to participate in class actions or class arbitration.
14.5 Small Claims Exception
Either party may bring individual claims in small claims court if eligible.
15. Changes to Terms
We may update these Terms from time to time. When we make material changes:
- We will notify you via email or in-app notification
- The updated Terms will be posted with a new "Last Updated" date
- Continued use after changes constitutes acceptance
If you disagree with updated Terms, you must stop using the Service and delete your account.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and VersaVoice AI™ LLC.
16.2 Severability
If any provision is found unenforceable, the remaining provisions continue in effect.
16.3 Waiver
Failure to enforce any provision does not waive our right to enforce it later.
16.4 Assignment
You may not assign your rights under these Terms. We may assign our rights to a successor entity.
16.5 Force Majeure
We are not liable for delays or failures caused by circumstances beyond our reasonable control.
